1. Terms & Conditions of Use (Digital Platforms)

 

1.1 Introduction

By accessing this websites/App/USSD/ Bot (all together referred to as the “Madison Group Digital Assets”) and using its content, you acknowledge and expressly agree that you have read and understood the following terms of use [“Terms of use”] and you agree to be bound by Terms of Use. Do not use the Madison Group Digital Assets, if you do not agree with these Terms of Use. As used below, the terms “we”, “us” and “our” refer to Madison Group Limited and its subsidiaries, Madison General Insurance Kenya Limited, Madison Life Assurance Kenya Ltd., Madison Investment Managers Limited (collectively referred to as “Madison Group”)

1.2 Use of Content

The content/information/blogs/facilitation services are available only for informational purposes. The posting/display of content/blogs/opinions/expressions/ notes/comments/criticism on/at Madison Group Digital Platforms are only informative and personal to respective author/s and is not necessarily the opinion and recommendation of Madison Group and access to these Madison Group Digital Asset and reading of content/blogs/opinions/expressions on/at Madison Group does not in any way render and bind Madison Group for such posting/display of content/blogs/opinions/expressions/ notes/comments/criticism and also same shall not be taken as to render, either explicitly or implicitly, any provision of services or products by us. Use of certain services may require you to agree to additional terms and conditions, or enter into separate agreements with us or applicable third-party partners.

1.3 Collection and Use of Personal Information

Your use of our Digital Platforms may involve the transmission to us of certain personally identifiable information. Our policies with respect to our collection and use of such information are set forth in our /privacy policy which is hereby incorporated by reference in its entirety.

1.4 Intellectual Property rights

All content of the Madison Group Digital Assets is protected by copyright and Intellectual Property Rights [IPR] with all rights reserved with Madison Group. All rights in the pages, site content and arrangement are owned by Madison Group and/or the respective subsidiary. You are expressly prohibited from copying, modifying, displaying, distributing, transmitting, redelivering through the use of “framing” technology or otherwise, publishing, selling, licensing, creating derivative works or using any site content for any purpose without the prior written approval of Madison Group and/or the respective subsidiary. While on/in/using the Madison Group Digital Assets you are bound by the Privacy Policy of Madison Group which is published/displayed in/on Madison Group Digital Assets.

1.5 Trademarks, Service Marks and Logos (“Marks”)

The trademarks/trade names/logos appearing on the Madison Group Digital Assets and/or any are the property of Madison Group and/or of its Subsidiary. You are not allowed to copy, use or adopt any of the same for whatsoever purpose without the prior written approval of Madison Group.

1.6 Hyperlinked and Referenced Websites/App.

Certain hyperlinks or referenced websites/App on the Madison Group Digital Assets may for your convenience forward you to third parties’ websites/App, which generally are recognized by their top level domain name. Their content has not been investigated or analyzed by us, and we do not warrant the adequacy, accuracy, reliability or completeness of any information on hyperlinked or referenced websites/App and expressly disclaim any liability for any and all of their content. By accessing the Madison Group Digital Assets, you also agree to abide by the proprietary guidelines set forth at any website accessed or hyperlinked to through the Madison Group Digital Assets.

1.7 No Warranties

All content on the Madison Group Digital Assets, including but not limited to graphics, text and hyperlinks or references to other sites, is provided “as is” basis without warranty of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement and free from computer viruses or other harmful components. We do not warrant the adequacy, accuracy, reliability or completeness of any information on the Madison Group Digital Assets and expressly disclaim any liability for errors or omissions therein. We do not warrant that the functions of the Madison Group Digital Assets will be uninterrupted and/or error-free.

1.8 Reservation of Rights

We reserve the right to change, modify, add to, or remove portions of these Terms of Use at any time and accordingly these Terms of Use is liable to be changed at any time at the sole discretion of Madison Group and the changed/revised Terms of Use shall automatically be applicable to you and you shall be bound by the same and comply with it.

1.9 Limitation of your content & Miscellaneous Provisions

All Content that you upload, post, e-mail, transmit or otherwise make available (“Make Available”) through the Madison Group Digital Assets (“Your Content”) you assume all risks associated with it, including any reliance on its accuracy, completeness or usefulness. Keep in mind that you remain solely responsible for the content that you post, including any photos/videos/music/pictures/ screenshots/graphs/tables/any other material/contents/documents of whatsoever nature through electronic or any other mode You cannot post/type/keep private or confidential information or do anything that violates intellectual property rights of any third party.

1.10 Content removal

We shall reserve a right to remove any content or information you post on Madison Group Digital Assets if we believe it violates our Terms of Use, our policies or if that content is anyway not allowed to post as per applicable laws in Kenya or infringes copy right/IPR rights of any third party in any manner.

1.11 Governing Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of Kenya, and you submit to the non-exclusive jurisdiction of the Kenya courts for the resolution of any disputes

1.12 Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

1.13 App License.

Subject to your compliance with the Terms of Use, we grant you a limited non-exclusive, non-transferable, non-sub licensable, revocable license to download, install and use a copy of the App on a single mobile device or computer that you own or control and to run such copy of the App solely for your own personal or internal business purposes.

1.14 Forms.

We grant you a limited, non-exclusive, non-transferable, non-sub licensable license to use the Forms for your own personal or internal business use. Except as otherwise provided, you acknowledge and agree that you have no right to create derivative works of, modify, reproduce, reverse engineer, enhance or in any way exploit any of the Forms, other than as permitted to complete the Forms for your own authorized use. You shall not alter or remove any copyright notice from the Forms. Notwithstanding the foregoing, you are licensed to download and print, for your personal records, electronic and physical copies of the Forms you produced through the Madison Group Digital Assets. Any right not expressly granted in these Terms of Services are reserved by us. The design, text, graphics and selection and arrangement of the Forms are copyright © Madison Group Ltd. All rights reserved.

1.15 Updates.

You understand that the Madison Group Digital Assets are evolving. As a result, we may require you to accept updates to the Madison Group Digital Assets that you have installed on your computer or mobile device. You acknowledge and agree that we may update the Madison Group Digital Assets with or without notifying you. You may need to update third-party software from time to time in order to use the Madison Group Digital Assets.

1.16 Necessary Equipment and Software.

You must provide all equipment and software necessary to connect to the Madison Group Digital Assets, including but not limited to, a mobile device that is suitable to connect with and use the Digital Assets, in cases where the Services offer a mobile component. You are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing the Madison Group Digital Assets.

1.17 Madison Group Communications.

By entering into these Terms of Use or using the Madison Group Digital Assets, you agree to receive communications from us, including via e-mail, text message, calls, and push notifications, even if your number is on a do not call list. You agree that texts, calls or prerecorded messages may be generated by automatic telephone dialing systems. Communications from us and our affiliated companies may include but are not limited to: operational communications concerning your Account or the use of the Madison Group Digital Assets, updates concerning new and existing features on Madison Group, communications concerning promotions run by us or out third-party partners, and news concerning us and industry developments. Standard text messaging charges by your cell phone carrier may apply to text messages.

1.18 Unsubscribe or Opt Out

If you wish to opt out of promotional emails, you can unsubscribe from our promotional email list by following the unsubscribe options in the promotional email itself. if you wish to opt out of promotional calls or texts, you may email salesonline@madison.co.ke or call us at 0709922000 you may also respond to any promotional text received on your mobile device with the word “Stop” to opt out of promotional texts.

1.19 Your Account

You do not need to register with us to visit and view Madison Group Digital Asset ; however, to access certain password-protected areas of the assets and to use certain Services, you must become a Registered User. A “Registered User” is a user who has registered for an account on the Site (“Account”) or has an account for the user’s mobile device. Any user ID and password you may have for Madison Group Digital Asset are confidential and you must maintain confidentiality of such information.

1.20 Indemnification

You hereby indemnify to the fullest extent Madison Group from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms of Use.
